Agreement to Terms

SVB Tech provides professional computer systems design and related services, including but not limited to:

Payment Terms

For professional services engagements:

  • Invoices are typically due within 30 days of issuance unless otherwise agreed
  • Late payments may incur interest charges as permitted by law
  • We reserve the right to suspend services for non-payment
  • All fees are exclusive of applicable taxes, which are your responsibility

Warranties and Disclaimers

Professional Services

We warrant that our professional services will be performed in a professional and workmanlike manner consistent with industry standards. Any specific warranties will be detailed in your service agreement.

Website Disclaimer

Our website and general information are provided on an AS IS and AS AVAILABLE basis without warranties of any kind, either express or implied. We do not warrant that:

  • Any defects or errors will be corrected

Limitation of Liability

Indemnification

Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of our professional relationship. This obligation survives the termination of any service agreement.

Confidential information does not include information that:

  • Is or becomes publicly available through no breach of this agreement
  • Was rightfully in the receiving party's possession prior to disclosure
  • Is independently developed without use of the confidential information
  • Is required to be disclosed by law or court order

Termination

We reserve the right to terminate or suspend your access to our website and services immediately, without prior notice or liability, for any reason, including but not limited to breach of these Terms.

For professional services engagements, termination terms will be specified in your service agreement. Upon termination:

  • All rights granted to you under these Terms will immediately cease
  • You must cease all use of our services
  • Payment obligations for services rendered remain in effect
  • Provisions that by their nature should survive termination shall survive

Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Any disputes arising from or relating to these Terms or our services shall be subject to the exclusive jurisdiction of the courts located in Toronto, Ontario, Canada.

Dispute Resolution

In the event of any dispute, controversy, or claim arising out of or relating to these Terms or our services, the parties agree to first attempt to resolve the matter through good faith negotiations.

If the dispute cannot be resolved through negotiation within 30 days, either party may pursue resolution through mediation before resorting to litigation. The costs of mediation shall be shared equally between the parties.

Severability

If any provision of these Terms is found to be unenforceable or invalid under any applicable law, such unenforceability or invalidity shall not render these Terms unenforceable or invalid as a whole. Such provisions shall be deleted without affecting the remaining provisions herein.

Entire Agreement

These Terms, together with any service agreements or statements of work, constitute the entire agreement between you and Svb Technology Partners Inc. regarding the use of our services and supersede all prior agreements and understandings, whether written or oral.
